The terms that govern your use of our website and describe the nature of our services.
These Terms and Conditions ("Terms") govern your use of the Lex Auxilium website at lexauxilium.com (the "Site"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site. Our professional services are provided under a separate written engagement agreement, which takes precedence over these Terms for matters relating to that engagement.
01Who we are
Lex Auxilium is a remote professional-services firm. We provide legal and paralegal support, accounting and bookkeeping, controller and CFO advisory, and AI legal data annotation to law firms and businesses across the United States, Australia and Canada.
02Nature of our services
Our people include advocates who are admitted to the bar in their relevant jurisdiction. When working with clients, they act strictly in a paralegal and support capacity, under the direction and supervision of the client firm's own attorneys. We support the people who give advice; we do not replace them.
Nothing on this Site is legal, financial, tax or other professional advice, and reading the Site or contacting us does not create an attorney-client relationship, a fiduciary relationship, or any other professional or advisory relationship. A relationship with us is formed only through a signed engagement agreement.
03Engagements and scope
The specific services we provide, the deliverables, the turnaround commitments and the fees are set out in your engagement agreement. The Site describes our services in general terms only, and any plans, pricing or timeframes shown are indicative and may change. Where the Site and an engagement agreement differ, the engagement agreement applies.
04Acceptable use of the Site
You agree to use the Site lawfully and not to misuse it. In particular, you agree not to:
- Attempt to gain unauthorised access to the Site, its systems or its data.
- Interfere with or disrupt the Site or the servers and networks that host it.
- Use the Site to transmit harmful code, or to collect information about others without authorisation.
- Copy, reproduce or republish material from the Site beyond what is reasonable for evaluating our services, without our permission.
05Intellectual property
The Site and its content, including text, design, graphics and logos, are owned by Lex Auxilium or used with permission, and are protected by intellectual-property laws. Logos and names of other organisations shown on the Site remain the property of their respective owners and are used to indicate working relationships only.
06Fees and payment
Where you engage us, fees are charged as fixed monthly retainers or as otherwise agreed in writing, rather than by the hour. Payment terms, billing cycles and any pilot arrangements are set out in your engagement agreement.
07Confidentiality
We treat client information as confidential and handle it in line with our Privacy Policy and our confidentiality framework. Before any client work begins, we enter into a non-disclosure agreement and complete security onboarding.
08Disclaimers
The Site is provided on an "as is" and "as available" basis. While we work to keep the Site accurate and available, we do not warrant that it will be uninterrupted, error free, or free of harmful components, and we do not guarantee any particular result from reading it.
09Limitation of liability
To the fullest extent permitted by law, Lex Auxilium will not be liable for any indirect, incidental or consequential loss arising from your use of the Site. Any liability we have in connection with our services is governed by the terms of the relevant engagement agreement. Nothing in these Terms limits any liability that cannot be limited under applicable law.
10Third-party links
The Site may link to websites operated by others. We provide those links for convenience and are not responsible for the content, policies or practices of any third-party site.
11Governing law
These Terms, and any dispute relating to the Site, are governed by the laws applicable to the engagement in question or, in the absence of an engagement, by the laws of the jurisdiction in which Lex Auxilium operates the Site, without regard to conflict-of-law principles.
12Changes to these Terms
We may update these Terms from time to time. Changes take effect when we post the revised version, and we will update the date shown above. Your continued use of the Site after a change means you accept the updated Terms.
